Schneider Electric acquires American software publisher PTC for $22.6 billion

Schneider Electric continues to diversify beyond electrical equipment and strengthens its software portfolio with PTC, its largest acquisition to date.

Schneider Electric announces the acquisition of PTC for $22.6 billionor around €20.1 billion. Based in Boston, Massachusetts, PTC is a leading software publisher for the design, development, monitoring, maintenance and data management of industrial products. PTC has more than 30,000 customers around the world and achieved a turnover of €2.4 billion in 23025.

This acquisition allows Schneider Electric to fill certain gaps in its portfolio, notably in product lifecycle management (PLM) and computer-aided design (CAD), while strengthening its presence in manufacturing industries. With PTC and Aveva, before the completion of the acquisition of Cognitethe artificial intelligence company applied to industry whose acquisition was announced for $3.1 billion on June 30, Schneider Electric software portfolio will generate more than 5 billion euros in revenue and software and services will represent 24% of the group’s pro forma turnover.

Expected synergies

“The acquisition of PTC represents an important step in our ambition to become the leader in the new era of Energy and Industrial Intelligence. Together, we are creating one of the most comprehensive and qualitative portfolios on the market in industrial software and AI, connecting the physical and digital worlds“, commented Olivier Blum, general manager of Schneider Electric, in the press release published by the company. Schneider Electric awaits “250 million euros of annual cost synergies, based on an identified execution plan and to be achieved within three years, as well as approximately 800 million euros of revenue synergies“. The transaction was unanimously approved by the boards of directors of both companies, and its completion is expected by the third quarter of 2027, subject to customary conditions precedent.

PTC should be attached to the AVEVA division of Schneider Electric, as well as Cognite. Craig Hayman, the current leader of AVEVA since February 2018, was previously the director of operations at PTC.

PTC is a software publisher for the design of industrial products. With AVEVA’s Cognitive technology and know-how, Schneider Electric will have a platform using AI for the design, monitoring of operation and analysis of data coming back from products in all kinds of industries, including electrical distribution, data centers and even construction. ©PTC

The stock markets poorly received this acquisition

After having increased by 18% in Paris since the start of 2026, the Schneider Electric stock began to fall on the markets a few minutes after the announcement of this transaction. It lost 8% at the opening in Paris, then 9.36% at 11 a.m., while the CAC 40 as a whole fell 0.5%.

Schneider Electric is the third largest market capitalization in France. The acquisition will be financed by the issuance of new shares and debt.

Beyond electrical equipment, Schneider Electric is now targeting services and software, from design to operation, and widespread connectivity. ©PP
